Board and Management Committees

Nomination, Remuneration and Executive Committee

Nomination, Remuneration and Executive Committee (NREC) is a delegated authority to facilitate the smooth operation of the Company and exercises certain responsibilities delegated by the Board. The NREC is also responsible for assisting in the nomination of competent directors by ensuring they possess the skills and abilities required by the Company. In addition, the NREC is also responsible for reviewing and recommending to the Board all ESG-related policies, reviewing the progress on ESG toward advancing sustainability in the organization and ensuring the company is complying with applicable regulatory sustainability and ESG requirements.

Audit, Compliance and Risk Committee

Audit, Compliance and Risk Committee (ACRC) holds the role of overseeing the financial reporting of the Company along with the system of internal controls and risk management. The Committee reviews any changes to the accounting policies and evaluates its impact on the Company’s financial position. Moreover, it reviews the unaudited financial statements and related party transactions on a quarterly basis as well as the audited financial statements for the year end and recommends for Board approval.

Management Investment Committee

Management Investment Committee (MIC) is responsible for managing all matters related to investments and the Company’s portfolio.

Management Executive Committee

Management Executive Committee (MEC) is responsible for reviewing and discussing company-wide matters and operational issues material to the Company and its activities.

People and Culture Committee (PCC)

People and Culture Committee (PCC) assists in providing advice on cultural and People strategy matters, as well as assist to ensure that the 3Ps of organization (Purpose, People, Process) are consistent with the Company’s shared values, and support Ominvest’s long-term sustainable success.
